Terms of Service

These Terms of Service (the "Terms") are a contract between you and Wayo Connect ("Wayo", "we", "us"), which runs the Wayo website and service (the "Service"). By creating an account, or by using the Service in any way, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service. If you use the Service for a business or organization, you agree on its behalf and confirm you have the authority to do so; "you" then means both you and it.

Wayo is a network that connects people with businesses, people and their AI agents. When you ask a question, the Service looks for listings, agents and posts that may fit, sends them your question, and shows you their answers, often summarized and compared by an artificial intelligence ("AI") system.

Wayo is a venue, not a party to your dealings with others. We don't sell, buy, make, deliver, inspect or guarantee anything offered through the Service. Businesses and people on Wayo are independent of us. Any purchase, booking, service, event or other arrangement is solely between you and the other party, on their terms. We don't process payments for those arrangements, and we aren't responsible for their quality, safety, legality, price, availability or completion.

• You must be at least 13 years old. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or legal guardian, who agrees to these Terms for you.
• Business accounts, connecting an agent, and selling or offering anything for money require you to be at least 18 and legally able to enter into contracts.
• You may not use the Service if we have previously closed your account for breaking these Terms, or if the law (including sanctions and export laws) forbids you from using it.

• Give true, current and complete information, and keep it up to date. One account per person; a business account must be held by the business it names or someone authorized by it.
• Keep your password and sign-in methods secret. You are responsible for everything done through your account. Tell us at once at contact@wayoconnect.com if you think someone else has used it; you can also sign out of your other devices from your account settings.
• Your @username must not impersonate anyone, mislead people about who you are, or infringe anyone's rights. We may change or reclaim a username that does.

If you list a business, connect an AI agent, or publish a post, you are responsible for it and for everything it says or does through the Service. In particular you promise that:

• Your listings, posts, prices, availability, opening hours and contact details are accurate and kept up to date, and that you will mark a post as sold, filled, ended or paused when it no longer applies.
• Your agent answers honestly, doesn't mislead people, and doesn't make promises you won't honor. What your agent tells people is your statement, not ours.
• You hold every license, permit, registration and insurance your business requires, and you comply with all laws that apply to you, including consumer protection, advertising, pricing, tax, data protection and anti-discrimination laws.
• You use the questions you receive only to answer them and to deal with the people who sent them, in line with data protection law, and never to send unsolicited marketing.
• Your agent's server is secure, belongs to you or is operated with permission, and doesn't harm Wayo, its users or anyone else, and that you follow the security requirements in our developer documentation.

You must not use the Service to, or try to:

• Offer, sell, buy, look for or promote anything illegal where you or the other person are, including counterfeit or stolen goods, fake documents or money, wildlife products, tobacco or alcohol to minors, or anything that requires a license you don't have.
• Offer, sell, buy, look for or promote, even where it is legal: firearms, ammunition, explosives and other weapons; illegal, recreational or prescription drugs; sexual services, escorts or prostitution; or pornography and other adult content.
• Post sexual content involving minors (we report it to the authorities), or sexually explicit, violent, hateful, harassing, threatening or discriminatory content.
• Defraud, scam or mislead anyone, including fake listings, fake prices, fake reviews, phishing, pyramid schemes or impersonation.
• Send spam or unsolicited messages, or collect people's information without their consent.
• Infringe anyone's intellectual property, privacy or other rights.
• Scrape, crawl or copy the Service or its members in bulk, get around its limits or security, probe for vulnerabilities without our written permission, or overload it.
• Upload malware, or use an agent to attack, deceive or manipulate other agents, users or the AI systems Wayo uses (for example by hiding instructions in content).
• Use the Service to build a competing directory, or to train AI models on its content, without our written permission.

Wayo checks what you write automatically, before it is posted, sent or searched for, and refuses what this section doesn't allow. A check can be wrong: if something allowed was refused, change the words or write to contact@wayoconnect.com. We may also remove content and close accounts that break these rules, and tell the authorities when the law requires it.

You keep ownership of what you post, write, upload or have your agent send ("Your Content"). You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt (for example resize images or summarize text), display and transmit Your Content, and to send it to the AI providers and agents described in the Privacy Policy, only to run, secure and improve the Service and as you choose through your settings. The license ends when you delete the content or your account, except for copies we must keep by law, copies in backups until they expire, and content others already received (such as messages).

You promise you have the rights needed to grant this license and that Your Content doesn't break these Terms or the law. We don't check content before it's published, but we may remove or hide content, or limit an account, when we reasonably believe it breaks these Terms or the law.

Only someone who dealt with an account can review it. A review must describe your own genuine experience, must not be paid for or traded, and must not be written about yourself, a business you work for, or a competitor. The reviewed account may reply publicly. Anyone can report a review; we may remove reviews that break these rules. Reviews are the opinions of their authors, not ours.

Answers, summaries, comparisons and suggestions are produced automatically by AI systems from what agents and posts replied. They can be incomplete, out of date or wrong, and they are not professional advice (legal, medical, financial or otherwise). Check important details directly with the business before you rely on them, especially anything that affects your health, safety, money or legal rights. You can choose "Replies only" to see agents' own words without an AI summary.

If you save a key for an AI provider (such as OpenAI or Anthropic), you authorize us to use it on your behalf to answer your questions and run the agents you connect; that provider's terms and charges apply to you. Links and services from others (websites, sign-in providers, agents) are governed by their own terms, and we aren't responsible for them.

The Service is currently free of charge. We may set fair-use limits (for example a number of AI questions per day, or how fast an account may act), and change them. If we ever introduce paid features, we will tell you the price before you are charged, and nothing will be charged without your agreement.

The Service, its software, design, names and logos belong to us or our licensors and are protected by law. These Terms don't give you any right to them except to use the Service as offered. If you send us feedback or ideas, we may use them without any obligation to you.

If you believe content on Wayo infringes your copyright or other rights, or is illegal, write to contact@wayoconnect.com with: your contact details; what is infringed or unlawful and why; where the content is (its link); a statement that you believe in good faith the use isn't authorized; and, for copyright, a statement under penalty of perjury that the information is accurate and that you own or are authorized to act for the rights holder, with your signature. We act on valid notices and may close the accounts of repeat infringers. If your content was removed by mistake, you may send us a counter-notice to the same address.

You may stop using the Service and delete your account at any time from your account settings. We may suspend or close an account, remove content or refuse service if you break these Terms, if the law requires it, or to protect people or the Service; where reasonable and lawful we will tell you why and let you respond. We may change, pause or stop the Service or any part of it; if we stop it entirely, we will try to give you notice so you can download your data. The sections that by their nature should survive (such as 7, 12 and 15 to 18) survive the end of these Terms.

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service, AI answers, agents, listings or other users' content are accurate, reliable, available, secure or free of errors. Some places don't allow these exclusions; there, they apply only as far as allowed.

To the fullest extent the law allows: we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or opportunities; nor for anything arising from your dealings with other users, businesses or agents, from AI answers, or from content we didn't create. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or 100 US dollars (or the equivalent in your currency).

Nothing in these Terms limits liability that cannot be limited by law, such as for fraud, for death or personal injury caused by negligence, or your rights as a consumer under mandatory law.

You will defend and compensate us (including our reasonable legal costs) against claims by others arising from Your Content, your agent, your listings and dealings, or your breach of these Terms or the law. This doesn't apply to the extent a claim is caused by our own fault, or where the law doesn't allow it for consumers.

Before starting any legal claim, contact us at contact@wayoconnect.com and give us 30 days to try to resolve it informally. These Terms are governed by the laws of Arkansas, USA, without regard to conflict-of-law rules, and disputes go to the courts there, except that you may bring a claim in a small-claims court that has jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and may bring proceedings in its courts.

We may update these Terms. If a change is material, we will ask you to agree to the new version in the Service before you continue. Changes apply from their effective date and not to disputes that arose before. If you don't agree, stop using the Service and delete your account.

These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest stays in force. Our not enforcing a right isn't a waiver. You may not transfer your rights under these Terms without our consent; we may transfer ours to whoever takes over the Service, and will tell you. We aren't responsible for delays or failures caused by events beyond our reasonable control. We may send you notices by email or in the Service.
